Terms of Service & Client Agreement

By engaging Maximum Solution India for any service, issuing a purchase order, paying a project deposit, or authorizing account access, you confirm that you have read, understood, and agreed to these Terms of Service. If you are accepting these terms on behalf of a business entity, you warrant that you possess full legal authority to bind that entity to this agreement.

Maximum Solution India delivers specialized agency services structured around two core growth pillars:

• Website & E-Commerce Custom website development, UI/UX design, mobile responsiveness, fast speed optimization, WhatsApp lead routing integration, and conversion landing pages.
• Digital Marketing & Ads Google Ads PPC campaign management, Meta Ads (Facebook/Instagram), local SEO optimization, search engine ranking strategies, and lead generation funnels.

To ensure efficient project delivery, clients agree to provide:

• High-resolution brand logos, product details, images, and accurate copy text in a timely manner
• Necessary administrative access to domain registrars, web hosting panels, Google Analytics, Search Console, or ad accounts
• Prompt feedback and milestone sign-offs within 3 business days of draft submissions
• Full legal compliance of their products, services, and brand claims under applicable Indian and international commercial laws

• Client Code Ownership Upon receipt of full final payment for a custom website project, the client acquires full ownership rights to the final website code, graphic design assets, and custom media created specifically for the project.
• Agency Frameworks Maximum Solution India retains ownership of underlying agency frameworks, reusable code utilities, base design systems, and campaign strategy templates developed prior to or independently of the engagement.
• Portfolio Rights Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), Maximum Solution India reserves the right to display completed project screenshots, design concepts, and non-confidential growth case metrics in our portfolio.

For all digital marketing, Google Ads, and Meta Ads management campaigns:

• Direct Platform Billing: Media ad budgets (Google Ads/Meta Ads spend) are paid directly by the client to the ad platform via the client's registered ad account billing profile. Agency management fees cover campaign strategy, setup, creative optimization, and management only.
• Ad Policy Compliance: Clients are responsible for ensuring that their advertised products or landing pages comply with Google Advertising Policies and Meta Commercial Guidelines. Maximum Solution India is not responsible for ad account suspensions resulting from restricted product categories (e.g. medical claims, financial guarantees, unauthorized brand sales).

• Website Revisions Custom web development packages include up to 2 rounds of design revisions during the staging review phase prior to final production deployment.
• Scope Modifications Features requested outside the initial agreed scope of work (e.g. additional pages, complex custom database integrations, multi-language modules) will be quoted separately.
• Project Delays Project completion timelines depend on timely client asset submission and feedback. Unresponsive pauses exceeding 30 calendar days may require project rescheduling.

Unless specified otherwise in a custom written proposal:

• Web Development Projects: A 50% advance deposit is required to commence project work, with the remaining 50% balance due upon staging completion prior to domain launch.
• Digital Marketing Retainers: Monthly digital marketing retainer fees are billed in advance at the start of each service billing cycle.
• Refund Policy: Deposit payments are non-refundable once design staging or technical development has commenced. Dedicated service retainer hours already expended are non-refundable.

Maximum Solution India provides websites and digital services on a professional "as-is" basis. In no event shall Maximum Solution India, its directors, developers, or marketing specialists be liable for any indirect, incidental, or consequential damages, lost profits, server downtime caused by third-party hosting providers, or external platform policy changes beyond our direct control.

These terms shall be governed by and construed in accordance with the laws of Delhi NCR, India, without regard to conflict of law principles. Any dispute arising under these terms shall fall under the exclusive jurisdiction of the courts of Delhi, India.
